1. Genomics Prepayment; Redemption.

   1.1 The Genomics Prepayment (“Genomics Prepayment ”) is issued by Azenta US, Inc., a Delaware corporation (“Azenta”). You can find your prepay card balance (“Genomics Prepayment Balance”) in the Payment Center managed through your online account. All purchases utilizing Genomics Prepayment are subject to these terms and conditions, and also to Azenta’s Terms and Conditions of Sale).

   1.2 Purchases are deducted from your Genomics Prepayment Balance. Any unused Genomics Prepayment Balance will remain associated with your Azenta account. If a purchase exceeds your Genomics Prepayment Balance, an alternate payment method will need to be used at checkout.

   1.3 Genomics Prepayments may only be redeemed toward the purchase of eligible goods and services provided by Azenta and its affiliates. Eligible goods and services are subject to change in our sole discretion.

2. Limitations.

   2.1 Your Genomics Prepayment Balance cannot be resold; used for payment outside of Azenta or its affiliates; redeemed for more than face value; transferred for value; redeemed for cash; returned for a cash refund (except to the extent required by law); or used in a manner otherwise prohibited by our Genomics Prepayment “Prohibited Actions List.” No portion of your Azenta Balance may be transferred to another Azenta account.

3. Risk of Loss.

   3.1 The risk of loss and title for Genomics Prepayments pass to the purchaser upon our electronic transmission of the Genomics Prepayment to the purchaser or designated recipient. You are responsible for safeguarding your Genomics Prepayment from unauthorized use. We are not responsible if your any Genomics Prepayment is used without your permission. There are a variety of “Prepay Card” scams that request payment on-line. Azenta is not responsible for, and assumes no liability to you for, any unlawful conduct or fraud by any third party associated with your Genomics Prepayment or Genomics Prepayment Balance. 

4. Use of Genomics Prepayment Balance or any Genomics Prepayment in Violation of these Terms and Conditions.

   4.1 By using a Genomics Prepayment you agree to comply with these terms and conditions, and not to use a Genomics Prepayment in any manner that is misleading, deceptive, unfair, or otherwise harmful to Azenta, its affiliates, or its customers. We reserve the right, without notice to you, to void your Genomics Prepayment (including any Genomics Prepayment Balance) without a refund, suspend or terminate customer accounts, suspend or terminate the ability to use our services, cancel or limit orders, and/or bill alternative forms of payment if we suspect that a Genomics Prepayment is obtained, used, or applied to an Azenta account (or your Genomics Prepayment Balance is applied to a purchase) fraudulently, unlawfully, or otherwise in violation of these terms and conditions.

5. Limitation of Liability.

   5.1  TO THE FULL EXTENT PERMISSIBLE BY LAW, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE GENOMICS PREPAYMENT OR YOUR GENOMICS PREPAYMENT BALANCE, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. TO THE FULL EXTENT PERMISSIBLE BY LAW, IN THE EVENT A GENOMICS PREPAYMENT IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, WILL BE THE REPLACEMENT OF THAT DIGITAL PREPAY CARD.

6. Disputes.

   6.1 Any dispute or claim relating in any way to the Genomics Prepayment or your Genomics Prepayment Balance will be resolved by the dispute resolution terms in Azenta’s Terms and Conditions of Sale OR Conditions of Use.

7. General Terms.

   7.1  The terms set out in the Azenta Conditions of Use policy apply. No fees apply to Genomics Prepayment. We reserve the right to require additional verification of your identity, Genomics Prepayment or account ownership, or provision of an additional payment instrument, before you are able to apply a Genomics Prepayment to your account or your Genomics Prepayment Balance to a purchase. When you purchase, receive, or apply a Genomics Prepayment to your account, or your Genomics Prepayment Balance to a purchase, you agree that the laws of the State of Delaware, without regard to principles of conflict of laws, will govern these terms and conditions and any dispute that may arise between you and Azenta, and its affiliates related to your use of a Genomics Prepayment or your Genomics Prepayment Balance. We reserve the right to change these terms and conditions without notice, from time to time at our sole discretion. All terms and conditions are applicable to the extent permitted by law. If any of these terms and conditions are deemed invalid, void, or for any reason unenforceable, that unenforceable term will be deemed severable and will not affect the validity and enforceability of any remaining terms and conditions.

8. Genomics Prepayment Balance Expiration.

   8.1 Your Genomics Prepayment Balance does not expire and may be applied to your Azenta account and applied to eligible purchases at any time.
